Management Board and Supervisory Board
Vistaprint N.V. has a two tiered board structure that is typical for publicly traded Dutch companies, which consists of a management board and a supervisory board. These two boards are responsible for the corporate governance structure of the company and compliance with the Dutch corporate governance code.
The role of the management board is to manage the company, which means, among other things, that it is responsible for achieving the company’s aims, strategy and policy, and results. The management board is accountable for this to the supervisory board and to the general meeting of shareholders.
The role of the supervisory board is to supervise the policies of the management board and the general affairs of the company and its affiliated enterprise, as well as to assist the management board by providing advice.

Robert Keane
Robert Keane is the president and CEO of Vistaprint, the company he founded in 1995 to provide small businesses with everything they need to market their business. Bringing knowledge in direct marketing, desktop publishing, manufacturing operations and strategy, Robert has led Vistaprint to the success it has achieved to date.
A veteran of the small business market, Robert's vision for Vistaprint emerged from his experience with the development of a retail kiosk design and printing system and from his in-depth knowledge of the small business desktop publishing software market.
Robert previously served as an external consultant to Microsoft with the Microsoft Publisher desktop publishing product team for whom he researched and advised on the graphic design and printing needs of small businesses in Europe. He earned his B.A. in Economics from Harvard College in Cambridge, Mass. and his M.B.A. from INSEAD in Fontainebleau, France.

Janet Holian
President, Vistaprint Europe Director, Management Board of Directors
Janet Holian joined Vistaprint in May 2000 and currently serves as the president of Vistaprint Europe. Janet is responsible for all aspects of Vistaprint's European business unit, including marketing, manufacturing, human resources and customer service. She also leads the company's market strategy and brand activities worldwide. Prior to assuming her current role, Janet was Vistaprint's chief marketing officer.
Previously, Janet served as vice president, corporate marketing at Andover.Net. She also held the positions of vice president of marketing at PersonalAudio, Inc. and director of worldwide marketing at MicroTouch Systems Inc.
Janet earned a B.A. in Economics and Business from Westfield State College (1981) and has completed the Tuck Executive Program at the Amos Tuck School of Business at Dartmouth College (1995).

Wendy Cebula
President, Vistaprint North America Director, Management Board of Directors
Wendy Cebula joined Vistaprint in October 2000 and is the president of Vistaprint’s North American business unit. In this role, she is responsible for all aspects of Vistaprint’s North American business unit, including marketing, manufacturing, human resources and customer service. She also oversees Vistaprint’s technology and engineering functions worldwide. Prior to assuming her current role, Wendy served as the company’s chief operating officer and, before that, Vistaprint’s chief information officer.
Before joining Vistaprint, Wendy was the director of database marketing and analysis at MotherNature.com. She also spent three years working in marketing analytics and management at Partner's First, a direct to consumer financial services company.
Wendy earned a B.S. degree in Finance at Rochester Institute of Technology in 1993.

Mike Giannetto
Executive Vice President and Chief Financial Officer Director, Management Board of Directors
With 23 years of financial management experience at technology companies, Mike oversees the company's worldwide finance operation with responsibility for the company's worldwide accounting and control; financial planning and analysis; investor relations, tax and treasury operations. Mike joined the company in May 2003 and most recently served as Vistaprint’s senior vice president of finance.
Before joining Vistaprint, Mike was the corporate controller at ePresence, a publicly-traded technology consulting company. Prior to that, Mike spent 14 years in the finance operations of Data General and, subsequent to the acquisition, at EMC. Among other roles, he served as the controller for Latin America and Canada operations at EMC Corporation and the director of corporate planning and accounting at Data General.
Mike holds a B.S. in Accountancy from Bentley College (1985) and an M.B.A. from Babson College (1990).

Richard Riley
Chairman, Supervisory Board of Directors Executive Chairman, LoJack
Richard T. Riley is currently Executive Chairman of LoJack Corporation (NASDAQ:LOJN), the publicly traded global leader in stolen vehicle recovery technology. Previously he served as president, CEO and COO of New England Business Service (NYSE:NEB), which was acquired by Deluxe Corporation in May 2004. Riley also held the title of President with several other companies within the New England Business Service Corporate Group including Rapidforms, which was acquired by New England Business Services in 1997, McBee and Safeguard, all of which operated in the small business market. Riley is a CPA who started his career in public accounting. He holds a degree from The University of Notre Dame. In addition to Vistaprint, Rich serves on the board of Micro-Coax, Inc. and LoJack.

John Gavin, Jr.
Director, Supervisory Board of Directors
Mr. Gavin is the former Chief Financial Officer of Bladelogic, Inc. where he oversaw all financial, legal, human resources and IT functions. In 2008 BMC acquired BladeLogic. Before joining Bladelogic, Mr. Gavin was CFO at NaviSite (Nasdaq: NAVI), where he oversaw the company's financial, legal, human resources and SEC reporting functions. Prior to joining NaviSite, Mr. Gavin served as senior vice president and CFO of Cambridge Technology Partners (Nasdaq: CATP), where he managed all worldwide financial functions of the company. Previously, he spent 13 years at Data General (NYSE: DGN), where he served in the positions of CFO, vice president of finance, corporate controller and treasurer. He also served as a member of the board of directors and chairman of the audit committee of Ascential Software Corporation for four years until its sale to IBM Corporation in April 2005.

Peter Gyenes

Peter Gyenes has four decades of experience in global technical, sales, marketing, and general management positions within the software and computer industries. He is currently the non-executive chairman of Sophos plc,. and serves on the board of Lawson Software, Netezza Corporation and a number of privately held technology companies, and is a trustee of the Massachusetts Technology Leadership Council. He served as Chairman & CEO of Ascential Software as well as of its predecessor companies VMark Software, Ardent Software and Informix, and led its growth from 1996 until it was acquired by IBM in 2005. Previously, he served as President and CEO of Racal InterLan, Inc., and in executive positions at Data General Corporation, Encore Computer Corporation and Prime Computer, Inc. Earlier in his career, he held sales and technical positions at Xerox Data Systems and IBM. He is a graduate of Columbia University where he received his B.A. in mathematics and M.B.A. degree.

George Overholser
Director, Supervisory Board of Directors Founder and Managing Director, NFF Capital Partners, a Division of the Nonprofit Finance Fund
George Overholser is an expert in helping companies grow. In addition to his role as Founder and Managing Director of NFF Capital Partners, he was founder of North Hill Ventures, and a member of Capital One Financial Corporation's original management team. During his seven-year tenure as head of strategy/new business development for Capital One, earnings grew by more than ten-fold. Presently, he continues to serve as a part-time advisor to Capital One and as a board director for Vistaprint. The bulk of his time, however, is dedicated to forming a capital market that serves the nonprofit sector. Prior to 1994, Mr. Overholser was a principal at Mercer Management Consulting, Inc., where he participated in a wide range of strategy consulting assignments. He earned a B.S. in Physics from Harvard University and an M.B.A. from the Stanford Graduate School of Business.

Louis Page
Director, Supervisory Board of Directors President & Managing General Partner, Window to Wall Street
Louis Page is the president and managing general partner of Window To Wall Street, Inc., an investment firm dealing with early stage financing. Prior to starting up Window to Wall Street, he served as Investment Advisor at EasCorp where he was responsible for the management of the investment portfolio of five credit unions totaling $1.5 billion dollars. Primary investments included treasury securities, CMOs, ABSs and various structured products. Other financial vehicles used in the portfolio management process included repurchase transactions, reverse repurchase transactions, swap agreements, and forward contracts. Louis earned his undergraduate Finance degree from Bryant College, is a CFA and completed the Canadian Securities Course (CSC). In addition to Vistaprint, Louis has served on the boards of Andover.Net, Inc. (IPO in 1999, sold to VA Linux Systems in 2000), Dovetail Software, Inc. (acquired by Ardent Software 1998) and J.-Louis Levesque Foundation, Inc.

Mark T. Thomas
Director, Supervisory Board of Directors
Mark T. Thomas is a Founder and Managing Partner of MCP, and serves as the executive liaison between MCP and Monitor. Mr. Thomas is a founder of Monitor, a member of its Global Group Executive Committee, and one of the firm’s most senior consultants, having developed and overseen several of the firm’s most important and long-standing client relationships. In addition, Mr. Thomas established Monitor’s Milan office and served on the firm’s European Executive Committee. Prior to joining Monitor, he was a senior consultant at Bain and Company. Mr. Thomas is a certified professional engineer and worked as a process engineer and project team leader at ICI’s Canadian subsidiary. Mr. Thomas received a Bachelor’s degree with First Class Honours from Queen’s University in Kingston, Ontario, and an M.B.A. from the Harvard Graduate School of Business Administration, where he was named a Baker Scholar. He has served as a Director of Codere, Hinckley, Metro and Service Partners.
